These Terms and Conditions regulate your access to and use of nearshoring-info.ch, as well as any services provided under a separate written agreement. By using the website or engaging our services, you agree to comply with these Terms. If you disagree, you should not use the website.
For the purposes of these Terms:
Agreement – A written contract or accepted proposal governing the provision of services.
Client Materials – Any data, documentation, or content provided by the client.
Deliverables – The outputs to be provided as described in the Agreement.
Internal Tools – Proprietary methods, systems, frameworks, or templates owned or used by nearshoring-info.ch.
Final Output – The completed work delivered to the client.
Engagement – The specific project or scope of services agreed upon.
Services – Professional services offered by nearshoring-info.ch.
External Resources – Third-party software, tools, or materials not owned by nearshoring-info.ch.
Services are performed in line with the milestones and scope defined in the Agreement. We apply professional skill and commercially reasonable efforts during service execution.
Completion timelines depend on timely cooperation and accurate information provided by the client.
Service proposals remain valid for thirty (30) days unless stated otherwise. If not accepted within that timeframe, pricing or scope may be revised before reissuance.
Unless clearly included in the Agreement:
Third-party expenses are billed separately
Approved reimbursable expenses may be charged at cost
Clients are responsible for applicable taxes related to the Services
Invoices are payable within five (5) days from issuance unless another arrangement is agreed in writing. Payment structures may follow milestone-based schedules.
Any request to alter the agreed scope must be submitted in writing.
Minor modifications that do not significantly affect pricing or timelines may be incorporated within the existing arrangement. Substantial changes require a revised or supplemental agreement.
Revised proposals related to scope changes should generally be accepted within fourteen (14) working days unless specified otherwise.
If project delays arise from client-side factors such as late approvals or incomplete materials, timelines may be extended proportionally.
If delays occur due to our operational constraints, we will communicate revised expectations promptly.
Circumstances beyond reasonable control, including force majeure events, may result in adjusted timelines without constituting a contractual breach.
Before delivery, work may undergo internal review procedures.
Clients are expected to review submitted Deliverables within seven (7) working days. Feedback or requested corrections within scope will be addressed in a reasonable timeframe.
Clients must ensure that materials provided are lawful, accurate, and suitable for use.
Unless agreed otherwise, final proofreading and verification of Deliverables remain the client’s responsibility. Timely approvals are required to maintain agreed timelines.
Unless otherwise agreed in writing, nearshoring-info.ch may include a reasonable accreditation reference or acknowledge completed work for informational purposes. Any such mention will remain factual and will not disclose confidential or sensitive information. Neither party shall unreasonably withhold consent to accurate, non-confidential references.
Both parties agree to protect confidential information exchanged during the engagement. This obligation does not apply to information that becomes publicly available or is independently obtained without restriction.
nearshoring-info.ch operates as an independent contractor. Nothing in these Terms establishes a partnership, employment relationship, or joint venture. We may utilize subcontractors while retaining responsibility for overall service delivery.
To the extent permitted, services are provided without additional guarantees beyond those expressly stated in writing. Liability in connection with any specific claim is limited to the amount paid for the relevant Services.
Upon full payment, clients receive a non-exclusive, perpetual, worldwide right to use the Final Output as defined in the Agreement.
Ownership of Internal Tools and methodologies remains with nearshoring-info.ch unless explicitly transferred in writing.
Post-delivery assistance is provided only if separately agreed. Additional support may be billed accordingly. Alterations made by third parties may affect support eligibility.
nearshoring-info.ch may revise these Terms from time to time. The version published on the website at the time of use will apply. Continued use indicates acceptance of the current Terms.
